+This license applies to Neo source code, training code, scripts, configuration,
+documentation, examples, and project materials unless a file states otherwise.
+
+## Entire Agreement and acceptance
+
+This license and the files expressly referred to in it constitute the complete
+agreement between TokenAI and every person or organization that accesses,
+downloads, copies, studies, modifies, or uses these project materials. By doing
+any of those acts, the user acknowledges that they have read and accepted this
+agreement, its conditions, its attribution duties, its restrictions, and the
+consequences of breach.
+
+Earlier instructions, posts, announcements, examples, or informal statements
+do not override this license. Any exception or additional permission must be in
+a written instrument confirmed by an authorized TokenAI representative.
+Licenses governing external dependencies remain separate and continue to apply
+to those dependencies.
+
+## Permission and definitions
+
+Permission is limited to personal, private, non-commercial educational,
+academic, and non-profit research use. **Commercial Use** includes any paid,
+for-profit, client, employment, production-business, advertising, sponsored,
+resale, or business-advantage use. **Financial Benefit** includes revenue,
+fees, salary, commission, donations, investment value, cost savings, or other
+direct or indirect economic value. **Derivative Model** includes any model or
+checkpoint fine-tuned, merged, distilled, quantized, converted, adapted, or
+otherwise materially derived from Neo or its dataset.
+
+No Commercial Use or Financial Benefit is permitted. Neo must remain identified
+as **TokenAI Neo — Decision Model** and referenced as `tokenaii/Neo`.
+
+## Attribution and restrictions
+
+The canonical dataset reference is `tokenaii/Neo-dataset`. Any work using the
+training code or data must state:
+
+> This work was trained using the TokenAI Neo Decision Model Dataset,
+> `tokenaii/Neo-dataset`, owned by TokenAI.
+
+Without prior written permission from TokenAI, no one may redistribute,
+rehost, mirror, sublicense, sell, publish, white-label, rename, rebrand, fork
+under another identity, publish a Derivative Model, or remove attribution,
+provenance, notices, or license terms. TokenAI and Neo trademarks may be used
+only for factual attribution; no endorsement, brand, domain, or co-branding
+rights are granted.
+
+Requests must be sent to **info@tokenai.llc** and are valid only when approved
+in writing by an authorized TokenAI representative.
+
+## Legal terms
+
+TokenAI may issue a written notice-and-takedown request identifying the material
+or URL, the type of alleged violation, the specific license term or legal right
+that was breached, and a contact method or signature of the rights holder or its
+authorized representative. The recipient must stop the disputed use, remove or
+disable access within five business days, preserve relevant evidence and
+records, and confirm completion of the removal or access block. A
+counter-notice does not authorize continued Commercial Use. Urgent or repeated
+breaches may require immediate removal and termination.
+
+No patent license is granted. Contributions require an invited CLA, and all
+contributors must disclose third-party material and grant TokenAI the rights
+stated in that CLA. Users must review dependencies and preserve upstream
+licenses and notices; third-party material is not relicensed here.
+
+Any breach terminates permission. If a provision is invalid or unenforceable,
+it is limited or severed only as necessary and the rest remains effective. The
+parties agree that the original intent should be preserved as far as legally
+possible.
+
+TokenAI may amend the terms that accompany future code, documentation, or
+publications. Materials already received remain governed by the terms supplied
+with them unless a written permission or written amendment confirmed by the
+affected user states otherwise. No amendment retroactively expands a
+recipient's rights or removes an existing restriction without written
+agreement.
+
+THE MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. THIS CUSTOM
+LICENSE IS NOT LEGAL ADVICE AND SHOULD BE REVIEWED BY QUALIFIED COUNSEL BEFORE
+ENFORCEMENT.
