SPLICEAI2 MODEL TERMS OF USE
CAREFULLY READ ALL THE TERMS AND CONDITIONS OF THESE TERMS OF USE BEFORE PROCEEDING WITH DOWNLOADING, ACCESSING, AND/OR USING SPLICEAI2 (defined below). YOU ARE NOT PERMITTED TO DOWNLOAD, ACCESS, AND/OR USE SPLICEAI2 UNTIL YOU HAVE AGREED TO BE BOUND BY ALL OF THESE TERMS OF USE. YOU REPRESENT AND WARRANT THAT YOU ARE DULY AUTHORIZED TO ACCEPT THESE TERMS OF USE ON YOUR OWN BEHALF AND ON BEHALF OF THE NON-COMMERCIAL ORGANIZATION YOU ARE EMPLOYED BY OR ASSOCIATED WITH.
SpliceAI2 is an AI model developed by Illumina. SpliceAI2 is licensed, not sold, to you, and is only made available for non-commercial use by, or on behalf of, non-commercial organizations such as universities, academic research institutions, and government entities. For clarity, non-commercial organizations specifically excludes for-profit companies, commercial affiliates of otherwise non-commercial entities, contract research organizations, healthcare providers or laboratories acting for commercial purposes, industry consortia controlled by commercial entities, or organizations performing industry-sponsored research for the benefit of a commercial entity. You may not be an employee of or otherwise affiliated with a commercial organization or acting on behalf of a commercial organization.
Your use of SpliceAI2 is subject to your prior acceptance of these SpliceAI2 Model Terms of Use (the “Agreement”). By clicking to accept the terms of this Agreement, or by otherwise accessing, using, reproducing, modifying, performing, distributing, or displaying any portion or element of the SpliceAI2 Materials, you agree that the terms and conditions of this Agreement will apply to and govern your use of the SpliceAI2 Materials.
This Agreement is made and entered into by and between Illumina, Inc., a Delaware corporation, having offices at 5200 Illumina Way, San Diego, CA 92122 (“Illumina”) and you as the end-user of SpliceAI2 (hereinafter, “you”).
- Definitions:
a. “Commercial Use” means your use for direct or indirect financial, commercial, or strategic gain or advantage, including without limitation: (a) bundling or integrating any SpliceAI2 Material with any hardware or software product for transfer, sale or license to a third party; (b) providing customers with access to any SpliceAI2 Material or Output for use with any hardware or software product purchased by that customer; (c) use in connection with the performance of services (including cloud computing services) for which you are compensated; and (d) creating publicly available tools or software, such as lookup tools, that use, incorporate, or otherwise rely on the SpliceAI2 Materials or Output.
b. “Derivatives” means a modification or improvement created by or on behalf of you that directly modifies the source code, model architecture, or executable implementation of SpliceAI2. Derivatives do not include Output or any independently developed software methods, models, tools, or other materials that do not incorporate, modify, or use the source code, model architecture, or executable implementation of SpliceAI2.
c. “Derivatives Patent” means any patent or patent application owned or controlled by, or otherwise licensable by, you that specifically claims or covers a Derivative.
d. “Output” means the predictions and all related information provided by SpliceAI2 or otherwise using the SpliceAI2 Materials, together with any visual representations, computational predictions, descriptions, modifications, copies, or adaptations that are substantially derived from Output. Notwithstanding the foregoing, Output does not include any modification, improvement, adaptation, or other material that incorporates, modifies, or enables reconstruction of any SpliceAI2 Materials, each of which constitutes a Derivative.
e. “SpliceAI2 Information” means the model weights, precomputed scores, and any portion thereof, relating to SpliceAI2 that are made available by Illumina for use in accordance with this Agreement, together with (i) modifications to those weights and scores, (ii) works based on those weights and scores, or (iii) other code or machine learning models which incorporate, in full or in part, those weights and scores.
f. “SpliceAI2” means Illumina’s artificial intelligence model known as SpliceAI2, including the source code for such model.
g. “SpliceAI2 Materials” means, collectively, SpliceAI2 and the SpliceAI2 Information.
Use of SpliceAI2. Subject to the terms and conditions of this Agreement, Illumina hereby grants to you a non-exclusive, royalty-free, revocable, non-transferable, non-sublicensable license under Illumina’s intellectual property rights in the SpliceAI2 Materials to (a) access and use the SpliceAI2 Materials, (b) make modifications to the SpliceAI2 Materials solely for your internal non-commercial research purposes, and (c) use or create publications using the minimum Output reasonably necessary to support reported research findings, in each case solely for your non-commercial purposes and specifically excluding any Commercial Use. You may not distribute, sublicense, provide access to, or otherwise make available any SpliceAI2 Materials or Derivatives to any third party without Illumina’s prior written consent. Any distribution of Output must be limited to non-commercial purposes and remain subject to the attribution, legal compliance, and use restrictions set forth in this Agreement. You will use the SpliceAI2 Materials, Derivatives, and Output only in strict compliance with all applicable laws, rules, and regulations in the jurisdiction in which you and any sample provider are located. You are solely responsible for ensuring that any human-subjects, genomic, health, personal, or other regulated data used in connection with the SpliceAI2 Materials is collected, processed, used, disclosed, and retained in compliance with all applicable consents, authorizations, institutional review board or ethics committee approvals, privacy notices, data-use restrictions, and data protection laws. The rights granted under this Section 2 are subject to Sections 3 through 5.
Restrictions on Use of SpliceAI2. The right to access and use the SpliceAI2 Materials specifically excludes any sublicense, resale, hosting, managed service, redistribution, or third-party access rights. Except as expressly permitted in Section 2, you specifically agree not to:
(i) Access or use the SpliceAI2 Materials on behalf of a commercial organization or in connection with any Commercial Use, including research on behalf of a commercial organization; or otherwise make available or share the SpliceAI2 Materials with a commercial organization;
(ii) sub-license, rent, sell, lease, distribute, provide access to, or otherwise transfer the SpliceAI2 Materials or any part thereof or downstream use of the SpliceAI2 Materials, including any download link to the SpliceAI2 Materials;
(iii) use the SpliceAI2 Materials, Derivatives, Output, or any information generated from any of the foregoing (A) as or as a component of any commercial software, product, service, database, tool, or other commercial offering, or (B) to develop, train, improve, or commercialize any machine-learning model or related technology, including any competing genomic prediction model or other substitute for the SpliceAI2 Materials or any Illumina product or service;
(iv) distribute, disclose, make available, or provide access to any Derivatives or other materials incorporating or derived from the SpliceAI2 Materials for any Commercial Use, except with Illumina’s prior written consent;
(v) use the SpliceAI2 Materials (or information generated from the use of the SpliceAI2 Materials) that is either in violation of applicable law or regulation, or contrary to ethical guidelines promulgated by established national and international ethics bodies;
(vi) remove or modify any acknowledgements, credits, or legal notices contained on the SpliceAI2 Materials or any part thereof;
(vii) file copyright or patent applications that include the SpliceAI2 Materials or any portion thereof, except that you may file a patent application claiming a Derivative provided that all applicable patent claims are subject to the license granted in Section 4;
(viii) use the SpliceAI2 Materials for any purpose other than set forth in Section 2;
(ix) misinform, misrepresent, or mislead regarding your access to or use of the SpliceAI2 Materials for non-commercial purposes; and
(x) publish, disclose, distribute, or otherwise make available all or substantially all of the SpliceAI2 Information, including by permitting reconstruction of the SpliceAI2 Information, without Illumina’s prior written consent.
Derivatives. You may create Derivatives only as expressly permitted under Section 2 and solely for your internal non-commercial research purposes. Your use of all Derivatives will be subject to all of the same terms and conditions under this Agreement that apply to SpliceAI2 Materials. For clarity, the license described below applies only if you file, control, or obtain a Derivatives Patent. Simply creating or using a Derivative does not, by itself, make the following license apply or give Illumina ownership of the Derivative. You hereby grant to Illumina and its affiliates a perpetual, worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable license under any Derivatives Patent, solely to make, have made, use, sell, offer for sale, import, distribute, and otherwise commercialize SpliceAI2 (including future versions), and any product or service incorporating or using SpliceAI2 (including future versions). The license granted under this Section 4 will survive expiration or termination of this Agreement. You represent and warrant that you have obtained, and will maintain, all rights, consents, and approvals necessary to grant the foregoing license, including from any collaborating institution, research sponsor, funding agency, or other third party.
Attribution. Any external publication or disclosure relating to your use of the SpliceAI2 Materials or generation of Output must cite Illumina, Inc. and its publication: Jaganathan K, Chen J, Liu X, Zhang Y, et al. A unified framework for quantitative splicing and transcript prediction. Unpublished manuscript (2026).
Ownership. The SpliceAI2 Materials are and shall remain the proprietary material of Illumina. All right, title, and interest in and to the SpliceAI2 Materials (including associated intellectual property rights) are and will remain vested in Illumina or Illumina’s affiliated companies or licensors. You acknowledge that no rights, license or interest to any Illumina trademarks are granted hereunder. You acknowledge that unauthorized reproduction or distribution of the SpliceAI2 Materials, or any portion of it, may result in severe civil and criminal penalties. Illumina reserves all rights in and to the SpliceAI2 Materials not expressly granted to you under this Agreement.
Suspension or Termination. Without prejudice to any other right or remedy available to Illumina, Illumina may suspend or terminate your access to the SpliceAI2 Materials without liability if (a) you breach this Agreement, or (b) if you become insolvent, cease to do business as a going concern or if a petition has been filed by or against you under any bankruptcy, insolvency or similar law or you make an assignment for the benefit of creditors. If Illumina suspends or terminates your right to access or use the SpliceAI2 Materials, you must immediately delete and cease use and distribution of all copies of the SpliceAI2 Materials in your possession or control and are prohibited from using the SpliceAI2 Materials.
Data Integrity/Loss. You are responsible for the integrity and availability, including preventing the loss of Output and any other data that you generate, use, analyze, manage, or store in connection with or through your use of the SpliceAI2 Materials, including without limitation, investigating and implementing industry appropriate policies and procedures regarding the provision of access to your data, monitoring access and use of your data, conducting routine backups and archiving of your data, and ensuring the adequacy of anti-virus software. Accordingly, you agree that Illumina is not responsible for any inability to access, loss or corruption of data as a result of your use of the SpliceAI2 Materials, and Illumina has no liability to you in connection with such inability to access, loss or corruption of data.
Term of License. This Agreement will be in effect from the time you expressly accept the terms and conditions of this Agreement, or otherwise download, access, or use the SpliceAI2 Materials, thereby accepting the terms and conditions of this Agreement, and will remain in effect until terminated. This Agreement will otherwise terminate upon the conditions set forth in this Agreement, if you uninstall or delete all copies of the SpliceAI2 Materials, if the license is revoked by Illumina, or if you fail to comply with any term or condition of this Agreement. You shall, upon termination of this Agreement for any reason, immediately discontinue use of and uninstall the SpliceAI2 Materials and destroy all copies of the SpliceAI2 Materials in your possession and/or under your control, and return or destroy, at Illumina’s option, any copies of the SpliceAI2 Materials in your possession or control.
No Warranties. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SPLICEAI2 MATERIALS ARE PROVIDED “AS IS” AND ILLUMINA EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS REGARDING THE SPLICEAI2 MATERIALS AND OUTPUT, INCLUDING WITHOUT LIMITATION, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL OTHER EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABLE QUALITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE, AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE. ILLUMINA DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SPLICEAI2 MATERIALS WILL MEET YOUR REQUIREMENTS, OR THAT THE OPERATION OF THE SPLICEAI2 MATERIALS WILL BE ERROR FREE OR UNINTERRUPTED.
Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ILLUMINA BE LIABLE UNDER ANY THEORY OF CONTRACT, TORT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY PERSONAL INJURY OR ANY INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, EVEN IF ILLUMINA HAS BEEN ADVISED OF THE POSSIBILITY THEREOF INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST DATA, INTERRUPTION OF BUSINESS, LOST BUSINESS REVENUE, OTHER ECONOMIC LOSS, OR ANY LOSS OF RECORDED DATA ARISING OUT OF THE USE OF OR INABILITY TO USE THE SPLICEAI2 MATERIALS. EXCEPT AND TO THE EXTENT OTHERWISE PERMITTED BY LAW, IN NO EVENT WILL ILLUMINA’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES (OTHER THAN AS MAY BE REQUIRED BY APPLICABLE LAW IN CASES INVOLVING PERSONAL INJURY) EXCEED THE AMOUNT OF $500 USD. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Survival. The limitations of liability and ownership rights of Illumina contained herein and your obligations following termination of this Agreement will survive the termination of this Agreement for any reason.
Research Use Only. The SpliceAI2 Materials are labeled with a For Research Use Only or similar labeling statement and the performance characteristics of the SpliceAI2 Materials have not been established and the SpliceAI2 Materials are not for use in diagnostic procedures. You acknowledge that the SpliceAI2 Materials and Output may be inaccurate, incomplete, biased, or unsuitable for particular variants, populations, datasets, or use cases, and have not been validated for all populations, variants, datasets, or intended applications. You acknowledge and agree that (a) the SpliceAI2 Materials have not been approved, cleared, or licensed by the United States Food and Drug Administration or any other regulatory entity whether foreign or domestic for any specific intended use, whether research, commercial, diagnostic, or otherwise, and (b) you must ensure that you have any regulatory approvals that are necessary for your intended uses of the SpliceAI2 Materials. You will comply with all applicable laws and regulations when using and maintaining the SpliceAI2 Materials.
General. You may not sublicense, assign, share, pledge, rent or transfer any of your rights under this Agreement in relation to the SpliceAI2 Materials or any portion thereof including documentation. If one or more provisions of this Agreement are found to be invalid or unenforceable, this Agreement will not be rendered inoperative but the remaining provisions will continue in full force and effect. This Agreement constitutes the entire agreement between the parties with respect to the subject matter of this Agreement and merges all prior communications except that a “hard-copy” form of licensing agreement relating to the SpliceAI2 Materials previously agreed to in writing by Illumina and you will supersede and govern in the event of any conflicting provisions.
Changes to Agreement. Illumina may revise this Agreement from time to time. Illumina will provide notice of any revisions by email, through the website in which you access the SpliceAI2 Materials, or by other reasonable means. Unless otherwise stated in the notice, revisions will become effective thirty (30) days after notice is provided. Continued use of the SpliceAI2 Materials following the effective date constitutes acceptance of the revised Agreement. Notwithstanding the foregoing, if a revision materially adversely affects your rights or obligations, Illumina may require you to affirmatively accept the revised Agreement before continued access to or use of the SpliceAI2 Materials is permitted.
Governing Law. This Agreement will be governed by and construed in accordance with the laws of the state of California, USA, without regard to its conflicts of laws principles, and independent of where a suit or action hereunder may be filed.
U.S. Government End Users. If you are a branch agency or instrumentality of the United States Government, the following provision applies. The SpliceAI2 Materials are a “commercial item” as that term is defined at 48 C.F.R. 2.101, consisting of “commercial computer software” and “commercial computer software documentation,” as such terms are used in 48 C.F.R. 12.212 or 48 C.F.R. 227.7202 (as applicable). Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4, all United States Government end users acquire the SpliceAI2 Materials with only those rights set forth herein.
Export Law. The SpliceAI2 Materials, any related technology, or information provided to you are subject to restrictions and controls imposed by U.S. export control laws and regulations and may be subject to applicable export or import laws and regulations in other countries. You agree to strictly comply with all such laws and regulations and acknowledge that you have the sole responsibility to obtain any licenses as may be required for its proper enjoyment of the SpliceAI2 Materials.
Third Party Programs. The SpliceAI2 Materials may include third party software (“Third Party Programs”). Some of the Third Party Programs are available under open source or free software licenses. This Agreement does not alter any rights or obligations you may have under those open source or free software licenses for the Third Party Programs. The licenses that govern the terms and conditions of use of the Third Party Programs included in the SpliceAI2 Materials are provided in the README file provided with the SpliceAI2 Materials. The README file also contains copyright statements for the various open source software components (or portions thereof) that are distributed with the SpliceAI2 Materials.

Predictions use fp16 mixed precision with torch.compile, so results are not bit-identical across GPU architectures or library versions. Minor score differences are expected, and distances may change when altered scores reorder topk positions or tied scores are resolved differently.
